Result of the Bid for Purchase of the Shares of Company Lek Pharmaceuticals d.d.
RESULT OF THE BID ISSUED BY COMPANY SERVIPHARM AG, BASEL, SWITZERLAND FOR PURCHASE OF THE SHARES OF COMPANY LEK PHARMACEUTICALS D.D., VEROVŠKOVA 57, 1526 LJUBLJANA, BASED ON LICENSE BY SECURITIES MARKETS AGENCY NO. 171/51/AG-02-(489) DATED SEPTEMBER 27, 2002.
The Bidder Servipharm AG, Basel, Switzerland (Servipharm AG) has on 28 September 2002 in newspaper Delo published a public take over bid to purchase all the shares of the issuer Lek Pharmaceuticals d.d., Verovškova 57, 1526 Ljubljana (Lek). The Bid for purchase has resumed on 11 November 2002. In accordance with paragraph 2 from Article 40 of the Take-Over Act (Official Gatezze of RS, No. 47/97 and 56/99) we are mediating the information on result of the take-over bid for purchase of shares of the issuer.
On October 28, 2002 a condition from item 5 of the bid for purchase and from item 1.3.3. of the prospectus for purchase, that has set a minimum number of securities, needed for the bid to be successful, has been fulfilled.
Until the expiry of the bid, the bid has been accepted by 18.151 shareholders, that altogether owned 1.915.256 shares of Lek, or a 99,07% stake of all issued Lek shares (irrespective of the class of Lek shares). Out of these shareholders, 17.624 shareholders of Lek A (having altogether 1.778.356 shares of Lek A) and 1.288 shareholders of Lek B (having altogether 136.900 shares of Lek B) have accepted the Bid. Servipharm AG did not own any Lek share before publication of the take-over bid.
14.992 shareholders that altogether owned 1.364.998 shares of Lek accepted payment in SIT, and 3.400 shareholders that altogether owned 550.258 shares of Lek accepted the payment in EUR.
The Bidder Servipharm AG ascertains that the take-over bid is successful.
